It has been our pleasure to assist dozens of small businesses with their various needs. This has included: BUSINESS START-UPS One of the most common start-ups in Ohio is the Corporation. This can take many forms. A subchapter “S” (named after a section of the IRS Code) allows tax advantages in that corporation revenues are “passed through” without the taxation of dividends inherent in a “C” Corp. However, a subchapter “S” cannot have over 35 shareholders, or hold (or be held by) another corporation. In many cases, it is advantageous to consider executing a “Close Corporation Agreement”. Such an agreement typically does away with a Board of Directors (and regular meetings and minute-keeping requirements) and replaces them with direct actions of the shareholders according to preset rules. Alternatively, you may choose to have preset meeting times and involve your attorney in “Executive Sessions” affecting the business in order to preserve the attorney-client privilege. By designating your attorney as your statutory agent, you may insure that your counsel is involved in early notice of lawsuits, liens and other possible legal problems. Non profit corporations are also possibilities for certain activities (educational and charitable, for example).
